Organization registration
Entrepreneurs shall apply through the prescribed application form along with necessary documents and fee for registration of new establishment name clearance (where applicable). What entrepreneurs need to do-
- Preparation of appropriate Memorandum/Articles of Association of the organization in the prescribed format of RJSC,
- Apply for online registration by visiting RJSC website,
- The prescribed fee for registration shall be deposited in the prescribed bank.
RJSC issues the registration letter on the condition that entrepreneurs-
- Obtained name clearance before registration (not applicable for private companies, foreign companies and partnerships),
- Applied for registration within the clearance application period,
- Memorandum/Articles of Association of the company in the prescribed format submitted with the application,
- Submitted the required registration fee.
Application Process for Company Registration- Link –
- Login to http://app.roc.gov.bd:7781
- Now click on Apply for Registration.
- Now identify the company type.
- Now enter your company name’s application number (Submission no.) and clearance number (NC Letter no.) and click on the Continue button to enter the registration page.
- Fill the prescribed form carefully.
- Now fill the Memorandum of Association (Memorandum of Association) by putting the information in the prescribed format.
- Now fill the Article of Association (Article of Association) by putting the information in the prescribed format.
- Confirm all the information of Memorandum of Association and Article of Association.
- Now if you click Submit and Continue, you will get instructions to submit the fee.

Private Company (as per Companies Act, 1994)
- Memorandum of Association and Articles of Association, original and two additional copies
- Filling in Form I: Declaration of Company Registration [Section-25]
- Completion of Form VI – Notice of location of registered office or change thereof [Section-77]
- Completion of Form IX – Director’s Consent [Section-92]
- Filling up of Form X – List of persons intending to be directors [Section 92]
- Completion of Form XII – Particulars of Directors, Managers and Managing Agents and any changes thereto [Section 115]
- Name clearance
Public Company (as per Companies Act, 1994)
- Memorandum of Association and Articles of Association, original and two additional copies
- Filling in Form I: Declaration of Company Registration [Section-25]
- Completion of Form VI – Notice of location of registered office or change thereof [Section-77]
- Completion of Form IX – Director’s Consent [Section-92]
- Filling up of Form X – List of persons intending to be directors [Section 92]
- Completion of Form XII – Particulars of Directors, Managers and Managing Agents and any changes thereto [Section 115]
- Declaration before commencement of business in respect of company filing statement instead of filling in Form XIV [Section 150]
- Completion of Form XI (where applicable) – Agreement for taking up qualifying shares of the proposed company [Section 92]
- Name clearance Foreign Company (as per Companies Act, 1994)
- Filling in Form XXXVI- Charter or Articles of Association or Memorandum and Articles of the Company or any document constituting or defining the Constitution of the Company,
- Filling in Form XXXVII – Address of registered or head office of the company,
- Completion of Form XXXVIII – List of Directors and Managers [Section 379],
- Completion of Form XXXIV – Return of person responsible for receiving services,
- Completion of Form XLII – Location of principal place of business in Bangladesh or any change therein,
- Encashment Certificate from any Scheduled Bank,
- Permission letter from Bangladesh Investment Board.
Trade Organization (as per Companies Act, 1994)
- Memorandum and Articles of Association, original copy and two additional copies,
- Filling of Form I – Declaration of Company Registration,
- Filling up of Form VI – Information on location of registered office or any change thereto [Section 77],
- Completion of Form IX – Director’s Work Consent [Section 92],
- Filling in Form X – List of persons intending to be directors [Section 92],
- Completion of Form XII – Particulars of Directors, Managers and Managing Agents and any changes thereto [Section 115],
- Government License (Trade License from Ministry of Commerce),
- Name clearance.
Societies (as per Societies Registration Act, 1860)
- Memorandum of Association,
- Name clearance.
Partnership Firm (as per Partnership Act, 1932)
- Filling of Form I – Statement regarding Registration of Firm (Statement),
- Partnership Agreement.
